1. Agreement to Terms

By accessing our website or using our services, you ("Client") agree to these Terms & Conditions.

If you disagree with any part of the Terms, please do not use our services.

2. Services Provided

Eskore Digitals provides:

  • Social Media Management
  • Paid & Organic Marketing
  • Content Creation
  • Graphics & Video Editing
  • Automation & CRM Setup
  • Lead Generation
  • Complete 360° Digital Marketing Solutions

All services are customized according to the client's business goals.

Important: Scope of work will always be defined through a written proposal + agreement before starting.

3. Client Responsibilities

To ensure high-quality service delivery, the client agrees to:

  1. Provide accurate business information.
  2. Provide timely access to required accounts (social media, CRM, etc.).
  3. Approve or reject content within agreed timelines.
  4. Maintain respectful communication.
  5. Not request services outside the agreed proposal unless separately billed.
If the client delays approvals, access, or communication, deadlines automatically shift — Eskore Digitals is not responsible for delays caused by the client.

4. Payment Terms

a. Billing Cycle

  • All SMM services are paid monthly in advance.
  • Automation, setup, or custom projects may require a 50% upfront deposit.

b. Late Payments

If payment is past due:

  • Work pauses automatically without notice
  • Reinstatement fee may apply
  • No refunds for paused days

c. Taxes

Prices are subject to applicable Canadian taxes (depending on province).

5. Refund Policy

We want to keep this client-friendly BUT fully in your favour.

Refunds Are NOT Provided For:

  • Monthly social media management after the cycle begins
  • Delays caused by the client
  • Change of mind
  • Low performance due to lack of client content, approvals, or cooperation
  • Failure to provide required access

Refunds Are ONLY Considered If:

  • Eskore Digitals fails to start the agreed service at all
  • A duplicate payment occurs
  • A proven billing error occurs
  • No work has been delivered AND the client requested cancellation before kickoff
Creative work, strategy, setup, ads, automation, and labour time are non-refundable under any circumstances.

Chargebacks

If a chargeback is filed without first discussing resolution:

  • All work stops immediately
  • All rights to delivered content revert back to Eskore Digitals
  • Client may be responsible for legal & administrative fees
  • Case will be fought under Canadian law

6. Performance Disclaimer

We aim for strong results, BUT:

Eskore Digitals does NOT guarantee:

  • Specific revenue
  • Specific follower counts
  • Viral content
  • Exact timelines
  • Exact number of leads

Because results depend on multiple external factors (industry, budget, competition, algorithm changes).

We guarantee effort, quality, and strategy, not results outside our control.

7. Liability Limitations

To the fullest extent allowed under Canadian law:

Eskore Digitals is NOT liable for:

  • Loss of revenue
  • Loss of clients
  • Account bans caused by client past behaviour
  • Ads rejection
  • Platform algorithm changes
  • Third-party service downtime
  • Reputation damage from client-provided content
  • Any legal issues related to the client's own business operations

Maximum liability is limited to the amount the client paid in the last 30 days.

8. Intellectual Property

  • Content created by Eskore Digitals is owned by the client after full payment.
  • Strategy documents, internal systems, templates, processes remain Eskore Digitals' intellectual property.
  • Clients may not resell or share internal systems.

9. Cancellation Policy

Client May Cancel If:

  • A 30-day written notice is provided
  • Outstanding dues are cleared
  • All access is removed from Eskore Digitals after the final delivery

Eskore Digitals May Cancel Immediately If:

  • Client engages in abusive or disrespectful communication
  • Client fails to pay on time
  • Client requests unlawful or unethical marketing
  • Client becomes uncooperative or unresponsive
No refunds are issued upon cancellation.

10. Dispute Resolution

Before any legal action:

  1. Both parties must attempt to resolve the issue through direct communication.
  2. If no agreement is reached, mediation will be conducted in Ontario, Canada.
  3. Legal proceedings may only take place in Ontario courts under Canadian law.

This prevents clients from taking random actions or dragging you into foreign courts.
